1. About GradeMart

GradeMart E-commerce Pvt Ltd operates an independent online marketplace connecting buyers with third-party sellers of industrial tools, safety equipment, machinery and workplace supplies. GradeMart facilitates transactions between buyers and sellers and is not the seller of the products listed on the platform unless expressly stated.

2. Acceptance of Terms

By accessing or using the GradeMart website, mobile site or services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the platform. We may update these Terms from time to time; the latest version always applies to your use.

3. Accounts

• You must provide accurate and complete information when creating an account and keep it up to date.
• You are responsible for maintaining the confidentiality of your password, OTPs and session, and for all activity under your account.
• Notify us immediately of any unauthorised use of your account.
• Each person or business may maintain accounts in good standing; we may suspend accounts that violate these Terms.

4. Orders, Pricing & Payments

• All prices are in Indian Rupees and include applicable taxes unless stated otherwise. Taxes are shown separately on your invoice where required.
• An order is confirmed only after payment is successfully captured.
• Orders may be fulfilled by one or more sellers; items may ship separately and delivery timelines may differ per shipment.
• Payments are processed by our payment gateway (Razorpay). We never store your full payment credentials.
• We reserve the right to refuse or cancel an order where a product is mispriced, out of stock, or suspected of fraudulent activity, and to refund any amount collected.

5. Returns & Refunds

Returns and refunds are governed by our Returns & Refund Policy, which forms part of these Terms. Eligibility depends on the product's returnability, the return window shown on the product page, and the condition of the returned item.

6. Seller Responsibilities

• Sellers are independent and solely responsible for the accuracy of their listings, the quality and authenticity of their products, and compliance with applicable laws including GST.
• Sellers must fulfil orders in accordance with the platform's fulfilment guidelines and issue required tax documents.
• GradeMart does not guarantee the accuracy of third-party seller descriptions, though it takes reasonable steps to maintain marketplace integrity.

7. Acceptable Use

• You may use the platform only for lawful purposes.
• You may not scrape, interfere with, reverse-engineer or attempt to gain unauthorised access to the platform.
• You may not post or transmit content that is unlawful, infringing, misleading or harmful.
• Buyers and sellers must keep marketplace communication, quotations and payments within GradeMart. Sharing phone numbers, email addresses, external links, social accounts or payment identifiers to bypass GradeMart is prohibited.
• GradeMart may moderate marketplace messages and withhold direct contact details from the opposite party while still providing authorised couriers the information required for delivery.

8. Intellectual Property

The GradeMart name, logo, website design and platform software are the property of GradeMart E-commerce Pvt Ltd or its licensors. Product images and descriptions belong to the respective sellers and remain their responsibility.

9. Limitation of Liability

To the maximum extent permitted by law, GradeMart shall not be liable for any indirect, incidental, special, consequential or punitive damages arising from your use of the platform or any transaction on it. Our total liability is limited to the amount you paid for the specific transaction giving rise to the claim.

10. Disputes & Governing Law

These Terms are governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of the courts of Chennai, Tamil Nadu. Nothing in these Terms limits any rights you may have under mandatory consumer protection law.
